recent sales of Sunshine Biopharma Inc.’s (the “Company”) common stock under the Company’s previously disclosed

at-the-market offering, the exercise price of the Company’s outstanding Series B Warrants has been reduced to $1.2202, subject to

further adjustment as set forth under the Series B Warrants.
