Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 11, 2026, Thompson S. Baker II, President of
Vulcan Materials Company (the “Company”), notified the Company that he will retire from such position effective July 15, 2026.
Item 5.07.
Submission of Matters to a Vote of Security Holders.
On May 8, 2026, the Company held its annual meeting of shareholders (the “Annual Meeting”). There were 130,462,251 shares of common
stock eligible to be voted at the Annual Meeting, and 119,028,883 shares were represented in person or by proxy at the Annual Meeting, which constituted a quorum to conduct business at the Annual Meeting. The following matters, which are described in
more detail in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on March 24, 2026, were approved by the Company’s shareholders at the Annual Meeting. The final voting results are presented below.
