Item 8.01 Other Events.
On June
12, 2026, SmartKem, Inc., a Delaware corporation (the “Company”) announced that the directors of SmartKem, Ltd., a corporation
organized under English law and the Company’s wholly owned subsidiary, has instructed an administrator to assist in the process
of placing SmartKem, Ltd. into creditors Voluntary Liquidation, which will not impact the Company’s current operations.
The Company
has not made any filing under any bankruptcy code or statutory reorganization scheme either in the United States or in the United Kingdom
and is continuing to operate the business of the Company.
