On

April 10, 2026, Patrick McCauley notified the board of directors (the “Board”) of Chicago Atlantic BDC, Inc. (the “Company”)

that he was resigning as a director of the Board, effective immediately, in order to pursue other opportunities. In submitting his resignation,

Mr. McCauley did not express any disagreement on any matter relating to the Company’s operations, policies or practices. Following

his resignation, the Board consists of five members, four of whom are independent.
