Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change
in Fiscal Year.
On May 1, 2026, the Board of Directors of Amcor
plc (the “Company”) acted to change the Company’s fiscal year end from a year beginning on July
1 and ending June 30 to a year beginning on January 1 and ending December 31. The change in fiscal year results in
an abbreviated fiscal year for the Company from July 1, 2026 to December 31, 2026 (the “Transition Period”). The Company’s
first full calendar fiscal year resulting from the change will be the year ended December 31, 2027. The Company’s fiscal quarters
will remain calendar quarters. In accordance with the applicable rules of the Securities and Exchange Commission, the Company will file
a transition report on Form 10-K/T with respect to the Transition Period. Until December 31, 2026, the Company will continue to report
its quarterly financial results in accordance with its current fiscal year.
