Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On July 26, 2026, the board of directors of SolarMax Technology, Inc. (the ”Company”) approved a one-for-12 reverse split of its common stock and a reduction in the number of authorized shares of common stock from 297,225,000 shares to 24,768,750. The Company will pay cash in lieu of fractional share based on the closing price of the common stock on the effective date of the reverse split. Under Nevada law, the board of directors can authorize a reverse split of the common stock without stockholder approval if the authorized common stock is reduced in the same ratio as the reverse split.
