On May 11, 2026, Planet Green Holdings Corp. (the

“Company”) issued a press release announcing that the audit report issued by the Company’s independent registered public

accounting firm in connection with the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2025 contained

a going concern qualification and an explanatory paragraph expressing substantial doubt about the Company’s ability to continue

as a going concern.

The Company is making this disclosure in compliance

with Sections 401(h) and 610(b) of the NYSE American Company Guide. A copy of the press release is attached as Exhibit 99.1 to this Current

Report on Form 8-K and is incorporated by reference herein.
