Section 5 - Corporate Governance and Management
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(b) and (e) Bank of Marin (the “Bank”), the wholly owned subsidiary of Bank of Marin Bancorp (“Bancorp”), and the Bank’s Executive Vice President and Head of Retail Banking, Brandi Campbell, mutually agreed that her employment would terminate on October 16, 2026.
The Bank and Ms. Campbell entered into a separation and release agreement effective October 16, 2026, in connection with the mutually agreed upon termination of employment, pursuant to which Ms. Campbell is entitled to three months' pay in a lump sum, minus applicable deductions and withholdings, and nine months reimbursement of COBRA premiums in exchange for her release of any claims and rights in favor of Bank and Bancorp related to her employment to the fullest extent permitted by law.
