Blue Owl Technology Finance Corp. Securities Class Action Filed on Behalf of Former OTF II Shareholders Following Nearly 44% Stock Decline - Investors may Contact Lewis Kahn, Esq., at Kahn Swick & Foti, LLC
NEW YORK & NEW ORLEANS--( BUSINESS WIRE)-- Kahn Swick & Foti, LLC (“KSF”) and KSF partner, former Attorney General of Louisiana, Charles C. Foti, Jr., announce that a securities class action lawsuit has been filed against Blue Owl Technology Finance Corp. (NYSE: OTF) (“OTF” or the “Company”) on behalf of all former shareholders of Blue Owl Technology Finance Corp. II (“OTF II”) who received shares of OTF common stock in direct exchange for their OTF II shares in the March 24, 2025 merger by which OTF acquired OTF II (the “Merger”), pursuant to the registration statement, prospectus, related oral communications, and all amendments thereto and additional materials incorporated therein (collectively, the “Registration Statement” or “Offering Materials”) issued in connection with the Merger. The action is presently pending in the United States District Court for the Southern District of New York.

If you received OTF shares in the Merger as described above and would like to discuss your legal rights and how this case might affect you and your right to recover for your economic loss, you may, without obligation or cost to you, contact KSF Managing Partner Lewis Kahn toll-free at 1-833-538-3615 or via email ( lewis.kahn@ksfcounsel.com), or visit https://www.ksfcounsel.com/cases/nyse-otf/ to learn more.
About the Lawsuit
The complaint alleges that the Offering Materials misrepresented, and failed to disclose, material information about how OTF valued its assets, the value of those assets, and the risks, trends, and uncertainties facing the business. Specifically, the complaint alleges that (a) the Offering Materials misrepresented OTF’s assets and financial performance and falsely stated that OTF followed generally accepted accounting principles, and (b) the Offering Materials gave a misleading picture of OTF’s software portfolio companies, including by leaving out the impact of artificial intelligence disruption on those companies.
At the time of the Merger, OTF reported a net asset value of approximately $17.06 per share, and OTF shares opened at $17.15 when they began trading on the New York Stock Exchange on June 12, 2025. OTF shares have since traded as low as $9.57 per share, nearly 44% below OTF’s net asset value at the time of the Merger.
The case is Lewis v. Blue Owl Technology Finance Corp., No. 1:26-cv-09634.
