On July

7, 2026, Andrew J. Ritter resigned from the Board of Directors of Nordicus Partners Corporation (the “Company”),

effective immediately, to pursue other time-consuming business opportunities. He also resigned from the Audit Committee,

Compensation Committee and Nominating and Corporate Governance Committee of the Board.

Mr. Ritter’s resignation was not the result of any disagreement with the Company on any matter relating to its operations,

policies or practices.
