Item 8.01. Other Events.

As previously reported, the Company received a Staff Determination

Letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company of Nasdaq’s

determination to delist the Company’s common stock and warrants from the Nasdaq Capital Market for non-compliance with the minimum

bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2).

On August 25, 2026, the Company submitted a request for a hearing before

a Nasdaq Hearings Panel (the “Panel”), pursuant to the procedures set forth in the Nasdaq Listing Rule 5800 Series, appealing

the Staff’s delisting determination and requesting the continued listing of the Company’s securities on Nasdaq. As previously

disclosed, because the Company was previously granted a second 180-day compliance period, the timely hearing request will not stay the

scheduled suspension of trading in the Company’s securities, which remains scheduled for the opening of business on August 26, 2026.

However, the timely hearing request is expected to stay the filing of a Form 25-NSE, and therefore the formal delisting of the Company’s

securities from listing and registration on Nasdaq, pending the issuance of the Panel’s decision.

At the hearing, the Company intends to present a plan to evidence its

ability to regain and sustain compliance with the applicable Nasdaq continued listing requirements. There can be no assurance that the

Panel will grant the Company’s request for continued listing or that the Company will regain compliance with Nasdaq’s listing

requirements.
