Item 8.01 Other Events.
The Board of Directors of the Company has fixed October 27, 2026 as the date for the 2026 Annual Meeting of Stockholders of the Company (the “Annual Meeting”), and has fixed September 21, 2026 as the record date for determining stockholders entitled to notice of and to vote at the Annual Meeting.
Pursuant to Article II, Section 3 of the Company’s Bylaws, the deadline for stockholders to provide timely notice of business proposed to be brought before the Annual Meeting was July 27, 2026. Pursuant to Article II, Section 10 of the Company’s Bylaws, the deadline for stockholders to provide timely notice of director nominations for consideration at the Annual Meeting was also July 27, 2026.
A copy of the Company’s Bylaws, as amended, is included as Exhibit 3.1 to the Current Report on Form 8-K filed with the United States Securities and Exchange Commission on December 11, 2018.
