Introductory Note

On April 2, 2026, Flushing Financial Corporation, a Delaware corporation (“Flushing”), held a special meeting of stockholders (the “Special Meeting”) in connection with the Agreement and Plan of Merger, dated December 29, 2025 (the “Merger Agreement”), by and among Flushing, OceanFirst Financial Corp., a Delaware corporation (“OceanFirst”), and Apollo Merger Sub Corp., a Delaware corporation and wholly-owned subsidiary of OceanFirst (“Merger Sub”).

Item 5.07.

Submission of Matters to a Vote of Security Holders.

At the Special Meeting, Flushing’s stockholders considered certain matters related to the merger, each of which is described in more detail in the joint proxy statement/prospectus of Flushing and OceanFirst, dated February 26, 2026. At the close of business on February 20, 2026, the record date for the Special Meeting, there were 33,883,626 shares of Flushing common stock outstanding. At the Special Meeting, the holders of 24,770,958 shares of Flushing common stock were represented in person or by proxy, constituting a quorum.

The vote results on the matters presented at the Special Meeting are set forth below.

Item 1 – Flushing Merger Proposal. A proposal to adopt the Merger Agreement, which provides that, on the terms and subject to the conditions set forth in the Merger Agreement, Merger Sub will merge with and into Flushing (the “first merger”), with Flushing surviving the first merger, and, immediately following the first merger, Flushing will merge with and into OceanFirst (the “second merger,” and together with the first merger, the “mergers”), with OceanFirst surviving the second merger. Upon consummation of the first merger, each share of common stock, par value $0.01 per share, of Flushing issued and outstanding immediately prior to the effective time of the first merger, subject to certain exceptions, will be converted into the right to receive 0.85 of a share of common stock, par value $0.01 per share, of OceanFirst (“OceanFirst common stock”), as well as cash in lieu of fractional shares of OceanFirst common stock (the “Flushing Merger Proposal”). The Flushing Merger Proposal was approved upon the following votes:

Item 2 – Flushing Compensation Proposal. A proposal to approve, on a non-binding, advisory basis, the compensation that Flushing’s named executive officers may receive in connection with the mergers pursuant to agreements or arrangements with Flushing (the “Flushing Compensation Proposal”).
