Item 3.01. Notice of Delisting or Failure to

Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 28, 2026, Columbus

Acquisition Corp, a Cayman Islands exempted company (the “Company”) received a notification letter from the Listing

Qualifications Department of The Nasdaq Stock Markets (“Nasdaq”) stating that the Nasdaq staff had determined to grant

the Company an extension of time through November 18, 2026 to regain compliance with Listing Rule 5450 (a)(2) (the “Minimum Holders

Rule”).

As previously disclosed, on

May 22, 2026, the Company received a separate written notice from Nasdaq stating that the Company did not meet the requirements of the

Minimum Holders Rule. The Company submitted its plan of compliance on July 2, 2026 accordingly. Based on the review of the materials submitted

by the Company, Nasdaq determined to grant the Company an extension until November 18, 2026 to regain compliance with the Minimum Holders

Rule.
