According to the lawsuit, Capricor Therapeutics and certain of its executives misled investors about Deramiocel, the company's lead cell-therapy candidate for treating Duchenne muscular dystrophy, between December 17, 2025 and July 26, 2026. The complaint alleges that Capricor portrayed its Phase 3 HOPE-3 results as statistically significant and represented that the data addressed the FDA's earlier concerns, while failing to disclose that the company had changed the trial's pre-specified statistical analysis plan, that the FDA had not agreed to those changes, and that the resulting analyses risked being viewed as post-hoc and insufficient to demonstrate the drug's effectiveness.
The alleged truth emerged on July 27, 2026, when FDA briefing materials questioned Capricor's statistical methods and stated that the benefit-risk assessment for Deramiocel appeared unfavorable without evidence of effectiveness. Capricor shares fell approximately 64% that day. After an FDA advisory committee subsequently voted 9-3 that the available evidence did not support Deramiocel's efficacy, the stock fell another 36% on July 30, 2026.
